General terms and conditions.

These general terms and conditions apply to all offers, quotations and agreements between Jacobs Language Services and the client. Any terms and conditions of the client do not apply unless otherwise agreed in writing.

2.1 All quotations are without obligation and may be revoked if the full text to be translated has not yet been reviewed.

2.2 The agreement is concluded upon written acceptance of the quotation by the client, or upon written confirmation of the assignment by Jacobs Language Services.

3.1 Jacobs Language Services will execute the assignment to the best of its knowledge and ability, taking into account the purpose of the translation as specified by the client.

3.2 Jacobs Language Services is entitled to engage third parties for the execution of the assignment.

3.3 The client will provide relevant documentation and terminology, if available.

4.1 The agreed delivery time is a target date, unless explicitly agreed otherwise in writing.

4.2 If timely delivery proves impossible, Jacobs Language Services will notify the client as soon as possible.

5.1 Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing.

5.2 In the event of late payment, the client is in default without notice and owes the statutory interest plus 2 percentage points from the due date.

5.3 All extrajudicial collection costs are borne by the client: 15 % on the first EUR 2,500 and 10 % on the remainder, with a minimum of EUR 100.

6.1 Complaints about the delivered work must be submitted in writing within 10 working days of delivery.

6.2 Submitting a complaint does not release the client from the payment obligation.

6.3 If the complaint is justified, Jacobs Language Services will correct the delivered work within a reasonable period or grant a reduction in price.

7.1 The liability of Jacobs Language Services is limited to the invoice value (excluding VAT) of the assignment in question.

7.2 Jacobs Language Services is not liable for indirect damage, consequential damage or lost profits.

7.3 Ambiguity in the source text releases Jacobs Language Services from any liability.

8.1 In case of cancellation of the assignment, the client owes the fee for work already completed.

8.2 If time has been reserved for the assignment, Jacobs Language Services may charge 50 % of the fee for the work not performed.

Copyright to the translation is transferred to the client once all financial obligations have been fully met.

Jacobs Language Services treats all information provided by the client as confidential.

11.1 All agreements are governed by Dutch law.

11.2 Disputes will be submitted to the competent court in the Limburg district.
